NAR1 filing guide for a Hong Kong private company.

Form NAR1 is the annual return used by a local company to report its registered particulars to the Companies Registry. It is a snapshot of the company at its return date: company details, registered office, officers, share capital and members.

Who this guide and tool are for

The guided route is designed for a common private, non-listed company with share capital, one share class, one or two natural-person directors and one or two members. Public companies, companies limited by guarantee, complex share structures and records with recent changes may need a different route or professional support.

Prepare these records first

A careful preparation sequence

  1. Confirm the route. Check the company type before entering personal data.
  2. Set the return date. For a private company, this is normally the incorporation or re-domiciliation anniversary, not simply the calendar year-end.
  3. Record the company snapshot. Use the registered spelling and the position at the return date.
  4. Reconcile shares. The member totals should agree with total issued shares.
  5. Review officers. Confirm names, addresses and partial identification particulars against the company’s records.
  6. Download and inspect. Check every page, sign where required and deliver the return with the fee.

What happens after download

Open the PDF in a viewer that supports fillable forms and check that no text is clipped. Confirm the return date, officer particulars, share totals and member schedule. The Companies Registry states that an annual return that is not properly signed or is not accompanied by the correct fee may be rejected.
